Ludmila Herbst, K.C., Presents at CLEBC’s Shareholders’ Disputes Conference
On November 13, 2024, Farris partner Ludmila Herbst, K.C., presented at the Continuing Legal Education Society of British Columbia’s Shareholders’ Disputes 2024 conference. Ludmila’s topic was “Harm to the Company vs. Harm to the Shareholders: Is there a Narrowing Gap?”, examining the remedies available in each scenario (including pursuant to statutory derivative and oppression proceedings) and the interplay between them. In addition to her presentation, Ludmila prepared a substantial paper included in CLEBC’s materials, covering topics such as shareholders’ traditional recourse (voting), compliance orders, litigation by wronged companies, whether shareholders may litigate on the company’s behalf (or in what circumstances, through derivative proceedings), shareholder claims for breaches of common law or equitable duties to them, shareholder recourse to the statutory oppression provision even in the absence of an otherwise actionable wrong, and instances where harm to the company may meaningfully be characterized as a harm to certain shareholders sufficient to underpin an oppression proceeding. Ludmila is an experienced litigator who represents clients in corporate-commercial disputes both in the courts and in arbitration, as well as acting in regulatory and public law matters.
