On October 17, 2016, Whistler Blackcomb Holdings Inc. and Vail Resorts, Inc. completed a strategic combination worth approximately $1.4 billion. Pursuant to the transaction, Vail acquired all of the issued and outstanding shares of Whistler for consideration of $36 per share payable in cash and shares. For tax purposes, Whistler shareholders were able to elect to receive exchangeable shares in a Canadian subsidiary of Vail instead of Vail shares. The transaction was structured as a plan of arrangement.
