On February 17, 2023 BTQ AG completed a business combination transaction (the “Transaction”) with Sonora Gold & Silver Corporation, which was renamed BTQ Technologies Corp. (“BTQ”).

BTQ AG was a private company incorporated in the Principality of Liechtenstein focused on developing computer-based technology related to post-quantum cryptography, particularly as it applies to blockchain technologies and their protection from the emerging security risk of quantum computing.

The Transaction was completed by way of a share exchange agreement and included a concurrent offering of subscription receipts for gross aggregate proceeds of $7,200,000.

Subsequent to the Transaction closing, February 21, 2023 commenced trading on the CBOE Canada (formerly the NEO Exchange) under the symbol “BTQ”.
