Farris Advises Gillfor Manufacturing on Acquisition of Teal-Jones Group
Farris is pleased to have represented Gillfor Manufacturing Inc. (“Gillfor”) in its acquisition of the Teal-Jones Group’s Surrey, Sumas and TFL 46 operations. The transaction closed on October 30, 2026, pursuant to a reverse vesting order granted by the Supreme Court of British Columbia on September 18, 2026, in the Teal-Jones Group’s proceedings under the Companies’ Creditors Arrangement Act (the “CCAA”).
Gillfor is now the sole owner of the acquired operations. The acquisition preserves vital forestry infrastructure and hundreds of jobs, and strengthens the foundation of British Columbia’s coastal forest industry.
Farris advised Gillfor on all aspects of the transaction, from the CCAA process through the purchase and closing of the acquisition, including negotiations with various stakeholders. Farris also acted for Gillfor on the acquisition financing and worked closely with Gillfor’s U.S. counsel on the cross-border aspects of the transaction.
The Farris team was led by Partner Sunny Aujla, and included Associates Cassandra Enns and Ian Meikle, with assistance from Partners Tim Louman-Gardiner (bankruptcy and insolvency litigation) and Ryan McCracken (competition).
